  • InterMoor is currently looking to add experienced Legal Counsel to their team based in Rio de Janeiro on a full time, permanent basis.
  • As a member of the Contract Management function and reporting directly to the General Manager (GM), this role requires a commercially focused individual who can not only provide day to day legal support but also develop the capability of the function across the company.
  • Based in Rio but with occasional travel, the Legal Counsel will support the Head of Legal and GM by providing advice and guidance to manage contractual, transactional and other legal responsibilities, disputes, governance and compliance across the company.
  • Central to the role will be engagement and interaction with stakeholders at all levels of the company; strong inter-personal and influencing skills combined with a team player approach will be critical.
  • It will be essential to build trusting relationships with all stakeholders but particularly the MD so that the legal function can work closely and effectively.
  • This is a role for someone who is a strong analytical and critical thinker with the independence, initiative, and confidence to successfully provide relevant support across the various functions of the company.

  • intellectual property, mergers & acquisitions, financial/securities offerings, compliance issues, transactions, agreements, contractual support pre-lawsuit(s), patents) Develop company policy and position as appropriate on legal issues Research, anticipate and guard company against legal risks Guide managers and ensure compliance with rules and regulations Advising on, and managing, commercial disputes Structure, draft and review reports and other legal documents Working with the Head of Legal to manage commercial disputes and provide litigation support for business in Brazil Draft, negotiate, and manage all contracts including supply chain management to identify, understand, quantify and mitigate business exposure to contractual risks outside company policy Negotiate deals and attend company meetings Assist in the management of the corporate compliance environment Required BS degree in Law Current license to practice law OAB Suitable Legal Qualifications and Experience in Common Law or Civil Law Proven comparable law firm experience or at least 5 years post qualification practical experience (or equivalent) with current practicing certificate or equivalent Proven background on corporate law (contract law, tax law, accounting, securities law, bankruptcy, intellectual property rights, licensing, zoning laws) An in-depth knowledge of forms of contracts used in the offshore service industry or similar engineering supply contracts; experience of BIMCO or other charter party agreements is desirable Offshore oil and gas service or manufacturing industry experience is an advantage Previous experience of working in-house in energy or infrastructure would be desirable, but not essential Demonstrable track record of successfully delivering within the oil and gas sector or similar industry Transaction and/or project management experience would be desirable Demonstrable success of working in a multiple stakeholder environment Excellent negotiation and communications skills Administrative and managerial skills Analytical ability and strong attention to detail Right to reside and work in Brazil; clean driving license/record #J-18808-Ljbffr
