  • InterMoor is currently looking to add experienced Legal Counsel to their team based in Rio de Janeiro on a full time, permanent basis.
  • As a member of the Contract Management function and reporting directly to the General Manager (GM), this role requires a commercially focused individual who can not only provide day to day legal support but also develop the capability of the function across the company.
  • Based in Rio but with occasional travel, the Legal Counsel will support the Head of Legal and GM by providing advice and guidance to manage contractual, transactional and other legal responsibilities, disputes, governance and compliance across the company.
  • Central to the role will be engagement and interaction with stakeholders at all levels of the company; strong inter-personal and influencing skills combined with a team player approach will be critical.
  • It will be essential to build trusting relationships with all stakeholders but particularly the MD so that the legal function can work closely and effectively.
  • This is a role for someone who is a strong analytical and critical thinker with the independence, initiative, and confidence to successfully provide relevant support across the various functions of the company.

  • intellectual property, mergers & acquisitions, financial/securities offerings, compliance issues, transactions, agreements, contractual support pre-lawsuit(s), patents)Develop company policy and position as appropriate on legal issuesResearch, anticipate and guard company against legal risksGuide managers and ensure compliance with rules and regulationsAdvising on, and managing, commercial disputesStructure, draft and review reports and other legal documentsWorking with the Head of Legal to manage commercial disputes and provide litigation support for business in BrazilDraft, negotiate, and manage all contracts including supply chain management to identify, understand, quantify and mitigate business exposure to contractual risks outside company policyNegotiate deals and attend company meetingsAssist in the management of the corporate compliance environmentRequiredBS degree in LawCurrent license to practice law OABSuitable Legal Qualifications and Experience in Common Law or Civil LawProven comparable law firm experience or at least 5 years post qualification practical experience (or equivalent) with current practicing certificate or equivalentProven background on corporate law (contract law, tax law, accounting, securities law, bankruptcy, intellectual property rights, licensing, zoning laws)An in-depth knowledge of forms of contracts used in the offshore service industry or similar engineering supply contracts; experience of BIMCO or other charter party agreements is desirableOffshore oil and gas service or manufacturing industry experience is an advantagePrevious experience of working in-house in energy or infrastructure would be desirable, but not essentialDemonstrable track record of successfully delivering within the oil and gas sector or similar industryTransaction and/or project management experience would be desirableDemonstrable success of working in a multiple stakeholder environmentExcellent negotiation and communications skillsAdministrative and managerial skillsAnalytical ability and strong attention to detailRight to reside and work in Brazil; clean driving license/record#J-18808-Ljbffr
