About the Role: The Legal Counsel will support all legal, corporate, and regulatory issues related to Reinsurance businesses in Brazil, Argentina, Paraguay, and Uruguay (South Cone).
The Legal Counsel will be part of the Legal Reinsurance Latin America Team, working collaboratively with other Legal & Compliance colleagues in the region, and reporting directly to the Head Legal Reinsurance Latin America.
The Legal Counsel will assist in maintaining legal oversight for Reinsurance''s LatAm legal entities and will help enable business growth while serving as a gatekeeper to prevent legal, regulatory, and reputational harm.
The Legal Counsel will provide legal advice, collaborate with the business to understand legal needs, requirements, and issues, source legal services internally and externally, and provide legal support on special projects.
Act as primary Legal Counsel for all Brazil-related matters.
Analyze risk comprehensively, considering the legal, commercial, and reputational impact of plans and decisions.
Support Reinsurance''s operations in Brazil and South Cone, including participation in the local management team.
Support Reinsurance''s business in Brazil and South Cone, including traditional and non-traditional reinsurance structures.
Ensure compliance with all Brazilian and South Cone local (re)insurance laws, regulations, and internal requirements.
Understand local, regional, and business unit operational structures and advise on legal risks; coordinate with internal stakeholders as appropriate (Tax, Regulatory, Risk Management, and Compliance) and ensure legal entities are compliant with applicable laws and regulations.
Draft clear legal documents such as contracts, opinions, internal corporate and service agreements, and other legal documentation.
Handle regulatory filings (registrations, authorizations, new products, etc.
).
Analyze Brazilian and South Cone law, proposed legislation, or regulations that may influence Swiss Re and its Reinsurance operations in the LatAm region.
Handle corporate matters (Shareholders meetings minutes, notarized acts, etc.
) of Reinsurance legal entities in Brazil.
Monitor and coordinate the network of outside counsel in the region.
Provide legal advice to underwriting, client markets, and claims.
Conduct internal training on legal, regulatory, and compliance risks to management, senior management, and external providers.
Assist business units in understanding and evaluating proposed laws and regulations and political context.
Communicate in a clear and concise manner any proposed laws, regulations, or other public policies which could affect Swiss Re and its operations in the region.
Ensure ongoing reporting based on allocated responsibilities.
Coordinate with governance teams to ensure appropriate governance and accurate reporting for the legal entities aligned to the region.
Supervise the development of Legal and Permanent establishment conduct.
Support development procedures to ensure compliance with regulatory requirements as well as Swiss Re internal guidelines.

About You: Leadership behaviors are embedded in the essence of the Legal and Compliance division.
The Legal Counsel must demonstrate leadership potential with a focus on these specific behaviors: Minimum of 5 years of legal/law firm experience required with a focus on (re)insurance; corporate experience is a plus.
Admitted to practice law in Brazil; admission in other jurisdictions is a plus.
Act as a wise counselor, demonstrating integrity and independence while providing professional advice and guidance and applying sound judgment to issues beyond purely legal topics.
Develop and manage strong relationships, acting as a trusted advisor and proactively collaborating with individuals across all levels of the Division and reinsurance business.
Demonstrate personal accountability for shaping and delivering pragmatic solutions.
Agile in leadership, thinking, and execution, including being comfortable leading through ambiguity.
Willingness to form an opinion and speak up while demonstrating an ability to positively manage stakeholder expectations.
Demonstrate curiosity and openness to embrace new ideas and experiences with a commercial mindset.
Communicating complex facts and legal concepts clearly and succinctly in writing and orally while also demonstrating strong listening, influencing, and collaboration skills.
Fluency in Portuguese and English is required; Spanish is a plus.
Excellent communication in both languages.
Exceptional ability to handle multiple projects and work in different lines of business.
Ability to work in a target-driven environment under tight deadlines and pressure.
Demonstrated understanding of legal regulatory issues around reinsurance programs.
Experience in compliance risk management and knowledge of compliance matters (e.
g.
, Data Protection, International Trade Controls, Economic Sanctions, AML, Anti-Trust, Competition, Records Management, Retention) is a plus.
Ability to work with diverse teams across multiple functions.
Strong interpersonal skills with successful experience dealing with external stakeholders.
Ability to summarize issues into concise memos/presentations.
Good judgment and attention to detail.
Preparedness to travel; travel unlikely to exceed 15%.
Advanced Word and PowerPoint skills.
