O que você irá fazer

  • This role will support the Legal Director in a variety of corporate legal matters, including the setup and management of legal entities, corporate governance, share transactions, global trademark filings, and coordination with external counsel for different projects.
  • The legal counsel will also work closely with the finance and HR departments to facilitate bank account openings and assist with immigration and labor processes.
  • The role will involve managing billing issues related to external legal services to ensure accuracy and compliance with quoted fees and will support the company in handling real estate transactions and permitting matters.
  • Key Responsibilities:Corporate Governance, Entity Management & Legal Representation: Assist in setting up new legal entities in line with the companys corporate structure, under the guidance of the Legal Director.
  • Support the appointment and removal of directors within various legal entities and ensure proper documentation is maintained.
  • Assist in granting Powers of Attorney (POA) and the execution of relevant corporate documents.
  • Assume the role of nominee statutory Legal Representative (Manager, Director) either solely or as a board member of entities created in countries where the legal counsel is based.
  • Real Estate Transactions & Permitting: Provide legal support for real estate transactions, including reviewing contracts, leases, and other real estate agreements under the supervision of the Legal Operations Manager.
  • Assist with obtaining necessary permits and approvals for business operations, ensuring compliance with local laws and regulations.
  • Database Management: Maintain an organized and up-to-date database in Google Drive with all legal documentation as required by the Legal Director.
  • Ensure all documents are compliant with company policies and accessible to the Legal Director and relevant stakeholders.
  • External Counsel Coordination & Billing Management: Support the Legal Director in coordinating the work of external counsel in various jurisdictions.
  • Help monitor external counsel fees and legal project budgets.
  • Collaboration with the Finance and HR Department: Assist the finance department in the opening of bank accounts for new legal entities by providing the necessary legal documentation, filling out forms, and ensuring compliance with local banking regulations.
  • Support immigration processes by procuring all legal documentation for visa applications and work permits.
  • Assist in matters related to labor law, including ensuring compliance with employee rights and contracts.
  • Other Duties: Assist the Legal Director and/or Legal Managers with various legal projects and provide general support as needed.
  • Help with preparing internal and external communications, reports, spreadsheets, org charts, and other legal presentations.
  • Personal Attributes:Strong attention to detail and excellent problem-solving skills.
  • Ability to work independently while also collaborating with a team.
  • Proactive, with a can-do attitude and the ability to manage competing priorities.
  • Comfortable working in a fast-paced, international business environment.
  • Requirements:Licensed to practice law in Brazil.
  • Fluent in Spanish or English (in addition to Portuguese).
  • Minimum 1 year of post-graduation experience .
  • Will serve as the legal representative of the company in Brazil (with indemnity agreement).
  • Must be a Brazilian citizen or hold permanent residency with legal work rights in Brazil.
  • Based in Rio de Janeiro.
